Terms of Service
These Terms of Service and End-User Licence Agreement (the "Terms") are a legal agreement between you and JCL Technologies LLC, a New York limited liability company with offices at 418 Broadway, Suite N, Albany, NY 12207, United States ("UnBizzy," "we," "us" or "our"), governing your use of the UnBizzy mobile application, the unbizzy.com website and related services (together, the "Service").
Please read these Terms carefully. They include a prominent allergen and food-safety disclaimer (Section 10), a disclaimer about AI-generated content (Section 9), limits on our liability (Sections 15–16), and an agreement to resolve disputes by binding individual arbitration with a right to opt out (Section 19).
By creating an account, tapping "I agree," subscribing, or using the Service, you agree to these Terms and to our Privacy Policy at https://unbizzy.com/privacy.html, which is incorporated by reference. If you do not agree, do not use the Service.
1. Eligibility and who may use the Service
1.1 Adults only. You must be at least 18 years old and able to form a binding contract to use the Service. The Service is not directed to, and may not be used by, anyone under 18. By using the Service you represent that you are at least 18.
1.2 United States only. The Service is offered only to people located in the United States. We make no representation that it is appropriate or available elsewhere.
1.3 Legal compliance and export. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country, and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
1.4 Household use. You may enter information about the members of your household so that we can plan meals for them. You are responsible for that information and represent that you are entitled to provide it. The app suggests a nickname rather than a real name for household members under 18.
2. Your account
2.1 Anonymous account. When you start onboarding, the app creates an anonymous account so your answers are saved as you go. That account has no credentials and cannot be recovered if you lose the device or uninstall the app. An anonymous account that never completes onboarding is automatically deleted, with all of its data, after 30 days.
2.2 Full account. To subscribe, and to keep your household's data recoverable, you must create credentials with an email address and password or with Sign in with Apple, Google or Facebook. An email address must be confirmed before you can subscribe. Your anonymous account is upgraded in place so your answers are kept.
2.3 Your responsibilities. You must give accurate information, keep your credentials confidential, and tell us promptly at support@unbizzy.com if you suspect unauthorised use. You are responsible for all activity under your account. One account per person; you may not share, sell or transfer your account.
2.4 Third-party sign-in. If you sign in with Apple, Google or Facebook, your use of that provider is subject to its terms. You may disconnect the provider at any time in your provider settings; you may then need to set a password to continue using your account.
3. Licence to use the app
3.1 Grant. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the UnBizzy app on mobile devices that you own or control, for your own personal, non-commercial household use, as permitted by the usage rules of the app store from which you obtained it. For the app obtained from the Apple App Store, the licence is limited to use on Apple-branded products that you own or control and as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the app may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing.
3.2 Restrictions. You may not (a) copy, modify, translate or create derivative works of the app; (b) reverse-engineer, decompile or attempt to extract source code, except to the extent the law expressly permits; (c) rent, lease, lend, sell, sublicense or redistribute the app or the Service; (d) use the Service to build a competing product, to train a machine-learning model, or to extract meal plans, recipes or content in bulk; (e) circumvent usage limits, consent gates, security or access controls; (f) use bots, scrapers or automated means to access the Service; or (g) remove proprietary notices.
3.3 Updates. We may release updates that install automatically or that you must install to keep using the Service. These Terms govern all updates unless they come with separate terms.
3.4 Reservation. The app is licensed, not sold. We and our licensors keep all rights not expressly granted.
4. Subscriptions, free trials and billing
4.1 Free features and the subscription. Parts of the Service are free to use with an account: building and printing a shopping list from meals you add yourself, pantry staples, recipes you type in, favourites and reactions, dinner reminders and the morning brief, your household settings, and a limited number of recipe imports from a link. The AI planner, further recipe imports and other AI-powered features require an active subscription or free trial. The features, usage limits and price of the subscription are shown in the app and in the App Store or Google Play listing before you subscribe. We may offer more than one subscription tier.
4.2 Purchases go through Apple or Google. Subscriptions are sold as in-app purchases through the Apple App Store or Google Play (each, a "Store"). The Store, not UnBizzy, is the merchant of record. The price, currency, billing period and any free-trial or introductory terms are those displayed by the Store at the time of purchase. We never see or store your payment card details.
4.3 Automatic renewal. Subscriptions renew automatically at the end of each billing period, at the price shown in the Store at the time of purchase (or as subsequently notified to you by the Store), unless you cancel at least 24 hours before the end of the current period. Your Store account is charged for the renewal within 24 hours before the end of the current period.
4.4 Free trials. If a free trial is offered, its length and the price that applies when it ends are shown before you start it. Unless you cancel before the trial ends, your subscription converts to a paid subscription and your Store account is charged. Trial eligibility is determined by the Store. We will email you before a free trial ends. Deleting the app does not cancel a trial or subscription.
4.5 How to cancel. You can cancel at any time through your Store account, and the in-app Subscription settings link you there. Deleting the app, or deleting your UnBizzy account, does not cancel your subscription — only cancelling in the Store does:
- iOS: Settings → [your name] → Subscriptions → UnBizzy → Cancel Subscription.
- Android: Google Play app → Profile → Payments & subscriptions → Subscriptions → UnBizzy → Cancel.
Cancellation takes effect at the end of the current billing period; you keep access until then. We cannot cancel a Store subscription for you.
4.6 Refunds. Because the Store processes your payment, refunds are handled by the Store under its refund policies, not by UnBizzy. Request a refund from Apple at https://reportaproblem.apple.com or from Google through Google Play's refund process. To the maximum extent permitted by law, payments are non-refundable by UnBizzy, and cancelling does not entitle you to a refund for the current period. Nothing in this Section limits any refund right you have under applicable law.
4.7 Price changes and promotional prices. If we change the price of your subscription, the change is applied through the Store under its rules, which provide for advance notice and, where required, your agreement before the new price takes effect. If you do not agree, your subscription will end at the close of the current period. Where we offer a promotional price that we describe as locked in, that price continues for as long as your subscription remains continuously active on the same plan.
4.8 Promotional offers. We may offer introductory prices, offer codes or promotions through the Stores. Each offer's terms are shown with the offer; offers are for new subscribers unless stated otherwise, may be limited in number or time, and are redeemed through the Store. If we discontinue a tier, we will migrate you to the closest equivalent or allow you to cancel, and we will tell you in advance.
4.9 Entitlement management. We use a third-party subscription-management service (RevenueCat) to recognise your subscription across platforms; the Store remains the merchant of record.
5. Usage limits and availability of the AI planner
5.1 Usage limits. AI features require an active subscription or free trial, which includes a billing grace period while a failed payment is retried. Accounts that have never subscribed receive a limited number of recipe imports from a link, shown in the app. Each tier includes fair-use limits on how often you can use the AI planner and related features (for example, the number of planning requests or recipe imports in a period). Limits are shown in the app and may be adjusted from time to time; we will not materially reduce the limits of your current tier during a paid period without notice. We may also pause a feature for an account that repeatedly triggers failures, and will say so in the app when we do.
5.2 Capacity. The AI features rely on a third-party model provider and cost us money each time they are used. To keep the Service sustainable we manage overall AI spend, and if usage runs ahead of what we have provisioned, AI planning may be temporarily interrupted while we restore capacity. During an interruption you can still view and edit your existing plans, recipes and shopping lists, and the app will tell you when AI features are unavailable. An interruption of this kind is not a breach of these Terms and does not by itself entitle you to a refund, though you may cancel at any time.
5.3 Availability. We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may suspend the Service for maintenance, security or other reasons.
6. Acceptable use
You agree not to:
- use the Service for anything unlawful, harmful or fraudulent, or in breach of anyone's rights;
- enter information about someone else's household without their permission, or enter a child's real name or other identifying details contrary to the in-app guidance;
- attempt to make the AI planner produce content that is abusive, harassing, hateful, sexually explicit, dangerous or that violates our AI provider's usage policies;
- submit content that infringes copyright or other rights, including bulk-copying recipe content you do not have the right to use;
- probe, scan or test the vulnerability of the Service, bypass rate limits, consent gates or authentication, or interfere with other users;
- misrepresent your identity or affiliation, or impersonate anyone; or
- use the Service to send unsolicited communications.
If the AI planner produces a response you believe is offensive, unsafe, wrong about an allergen, or otherwise inappropriate, you can report it from the response itself in the app. We review reports and may use them to improve the Service.
7. Your content and recipe imports
7.1 Your content. "Your Content" means everything you enter or upload: household profile and onboarding answers, chat messages, notes, preferences and reactions, shopping-list edits, recipe links, recipe photos, photos you attach to your own recipes, and any recipes you type in. You own Your Content.
7.2 Licence to us. You grant us a non-exclusive, worldwide, royalty-free licence to host, store, process, transmit, reproduce, adapt and display Your Content solely as needed to operate, secure, support and improve the Service for you, including sending it to our service providers (such as our AI model provider, after your consent) as described in the Privacy Policy. This licence ends when you delete the relevant content or your account, except for de-identified information and backup copies as described in the Privacy Policy.
7.3 Recipe imports. When you import a recipe from a link, the app reads the page on your device, sends the page's printed ingredient lines to our AI provider to be read into a list, and saves the recipe details to your account with a link to the source; the app shows you the source link rather than reproducing the publisher's page, and imported recipes stay private to your account. When you import a recipe from a photo, the image is sent to our AI provider to read the recipe and is not stored by us. A photo you attach to one of your own recipes stays on your device and is not uploaded to us. Imported recipes are for your personal, non-commercial use within the Service. You are responsible for making sure you have the right to import and use the content and for complying with the source website's terms. You must not import content in bulk or use the Service to republish or commercialise recipes. We may remove imported content in response to a valid infringement notice (see Section 12.4).
7.4 Responsibility. You are solely responsible for Your Content and its accuracy, including allergen and dietary information. We do not pre-screen Your Content but may remove content that violates these Terms.
7.5 Feedback. If you send us ideas or suggestions, we may use them without obligation to you.
8. AI processing and consent
8.1 The meal planner, recipe imports, ingredient matching and preference suggestions are powered by a large language model provided by Anthropic, PBC. Before any of your information is sent to Anthropic, the app shows an AI disclosure and asks for your explicit consent. The Service's AI features do not operate without it.
8.2 You may withdraw your AI consent at any time by emailing support@unbizzy.com. If you do, the AI features stop working, but your subscription continues until you cancel it through the Store; withdrawing AI consent does not by itself cancel your subscription or entitle you to a refund from us.
8.3 Preference suggestions generated from your activity or chat history are proposals only and take effect only if you accept them.
9. AI-generated content: no guarantee of accuracy; not medical advice
9.1 The planner is an AI. The planning chat, and the meal plans, recipes, ingredient lists, quantities, cooking times, substitutions and shopping lists it produces, are generated automatically by a large language model in response to what you and your household tell it. The chat is not monitored by a person, and replies are not reviewed before you see them. AI output can be inaccurate, incomplete, out of date or simply wrong, including about ingredients, allergens, food safety and cooking temperatures. Use your own judgement and verify anything that matters.
9.2 Not medical, nutritional or dietetic advice. UnBizzy is a meal-planning convenience tool, not a healthcare provider, dietitian or medical device. Nothing in the Service — including allergen screening and dietary tagging — is medical advice, a diagnosis or treatment, or a substitute for advice from a doctor, allergist or registered dietitian. Consult a qualified professional before making decisions about allergies, medical diets, infant or child nutrition, pregnancy, or any health condition.
9.3 Imported recipes are read from a web page or a photo by software, may contain reading errors, and are not checked by us. Recipes imported from a website are shown with their source link so you can check them against the original.
9.4 Dish images are illustrative and may not match the recipe exactly.
10. ALLERGEN AND FOOD-SAFETY DISCLAIMER — PLEASE READ
UNBIZZY'S ALLERGEN AND DIETARY SCREENING IS A BEST-EFFORT SOFTWARE CHECK BASED ON THE INFORMATION YOU ENTER AND ON RECIPE AND INGREDIENT TEXT. IT IS NOT RELIABLE ENOUGH TO PROTECT SOMEONE WITH A FOOD ALLERGY OR INTOLERANCE, AND YOU MUST NOT RELY ON IT FOR THAT PURPOSE.
- The Service may fail to flag an allergen, may flag it incorrectly, may not recognise alternative ingredient names, hidden ingredients, cross-contamination risks, or manufacturer formulation changes, and does not know what is actually in the products you buy.
- You are solely responsible for reading product labels, checking ingredients with manufacturers and retailers, and verifying every meal, recipe and grocery item against your household's allergies, intolerances and dietary needs before purchasing, preparing or serving food.
- The Service does not provide food-safety guidance you can rely on regarding storage, cooking temperatures, spoilage or safe handling. Follow official food-safety guidance and your own judgement.
- Grocery items placed in a retailer's cart from your list are selected by keyword matching and may not be the product, brand, size or formulation you intend. Check the cart before you buy.
By acknowledging the allergen notice in the app and by using the Service, you accept these limitations and agree that, to the fullest extent permitted by law, UnBizzy is not liable for any allergic reaction, illness, injury or other harm resulting from reliance on the Service's allergen, dietary or food-safety information.
11. Third-party services
11.1 Grocery retailers. The Service can open a supported grocery retailer's website in an in-app browser and populate a cart from your shopping list. Your dealings with the retailer — account, prices, availability, substitutions, delivery, payment and returns — are solely between you and the retailer under its terms. UnBizzy is not a party to those transactions and is not affiliated with the retailer.
11.2 Sign-in providers, recipe websites and other services. Apple, Google and Facebook sign-in, the recipe websites you link to, the delivery and reservation apps the Service can open on your device for a night off, push-notification delivery and your device's speech recognition are provided by third parties under their own terms. We are not responsible for third-party services or content, and links do not imply endorsement.
11.3 Third-party terms. You must comply with applicable third-party terms of agreement when using the Service (for example, a retailer's conditions of use, your Store's terms, and the terms of any recipe website you import from).
12. Intellectual property
12.1 Ours. The Service, including the app, its design, text, graphics, the UnBizzy name and bee character, and all software, are owned by JCL Technologies LLC or its licensors and protected by copyright, trademark and other laws. You may not use our name, logo or character without our written permission.
12.2 AI output. As between you and us, you may use the meal plans, shopping lists and other output generated for your account for your personal, non-commercial household purposes. Because similar output may be generated for other users, we do not promise that output is unique to you, and we make no claim to any copyright you may hold in it.
12.3 Third-party content. Recipes and images from third-party sources remain the property of their owners.
12.4 Copyright complaints. If you believe content available through the Service infringes your copyright, send a notice containing the information required by 17 U.S.C. § 512(c)(3) to our designated agent at support@unbizzy.com or the postal address in Section 24. We will respond to valid notices, including by removing content and, where appropriate, terminating repeat infringers.
13. Termination
13.1 By you. You may stop using the Service at any time and delete your account in Settings or at https://unbizzy.com/delete-account.html. Remember to cancel your subscription through the Store first. Ending a subscription without deleting your account is not a termination: your plans, recipes, lists and settings remain available in the free features of the Service, and only the AI features stop.
13.2 By us. We may suspend or terminate your access, with or without notice, if you materially breach these Terms, if required by law, or if we discontinue the Service. If we terminate for our convenience or discontinue the Service while you have a paid period remaining, you may seek a pro-rated refund from the Store and we will support that request.
13.3 Effect. On termination your licence ends and we may delete your account data as described in the Privacy Policy. Sections 7.2 (to the extent of de-identified data and backups), 9, 10, 12, 14–21 and 23–24 survive.
14. Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE, THE APP AND ALL CONTENT (INCLUDING AI-GENERATED CONTENT) ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. JCL TECHNOLOGIES LLC DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY MEAL PLAN, RECIPE OR ALLERGEN CHECK IS ACCURATE, COMPLETE OR SUITABLE FOR YOUR HOUSEHOLD.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you. In that case our warranties are limited to the minimum scope and duration required by law.
15. Limitation of liability
15.1 Exclusion of certain damages. TO THE FULLEST EXTENT PERMITTED BY LAW, JCL TECHNOLOGIES LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, LICENSORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL OR USE, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
15.2 Cap. TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SERVICE THROUGH THE STORE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS (US $100).
15.3 Carve-outs. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including under New York law: liability for death or personal injury caused by our gross negligence or wilful misconduct, for fraud or fraudulent misrepresentation, or any other liability to the extent New York General Obligations Law or other applicable law prohibits its limitation. The limitations in this Section apply to the fullest extent the law allows and are an essential basis of the bargain between you and us.
15.4 Consumer rights. Some jurisdictions do not allow the limitation of incidental or consequential damages, so parts of this Section may not apply to you.
16. Assumption of risk
You understand that food preparation, allergen management and grocery selection carry inherent risks and that the Service is a planning aid that depends on information you supply and on automated processing that can err. You assume responsibility for how you use the Service's output in your kitchen and for your household.
17. Indemnification
You agree to defend, indemnify and hold harmless JCL Technologies LLC and its members, managers, employees and agents from and against claims, damages, losses and expenses (including reasonable attorneys' fees) arising out of or relating to (a) Your Content, including recipes you import; (b) your breach of these Terms or of applicable law; (c) your violation of any third party's rights; or (d) your misuse of the Service. We may assume the exclusive defence of any matter subject to indemnification, in which case you will cooperate with us. This Section does not apply to the extent prohibited by applicable consumer-protection law.
18. Governing law
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of New York and the Federal Arbitration Act, without regard to conflict-of-laws rules, and, where applicable, the federal laws of the United States. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
19. Dispute resolution; arbitration; class-action waiver
Please read this Section carefully. It affects your rights.
19.1 Informal resolution first. Before starting arbitration or a lawsuit, you agree to email support@unbizzy.com with a description of the dispute and what you want, and to give us 60 days to try to resolve it informally. We will do the same if we have a claim against you.
19.2 Binding arbitration. If the dispute is not resolved informally, you and JCL Technologies LLC agree to resolve any claim arising out of or relating to these Terms or the Service by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Any in-person hearing will be held in Suffolk County, New York, unless the AAA's Consumer Arbitration Rules require a different location; you may instead elect to proceed by video conference or on documents only. The arbitrator may award the same individual relief a court could. Judgment on the award may be entered in any court with jurisdiction. We will pay AAA filing, administrative and arbitrator fees to the extent they exceed the amount you would pay to file in small-claims court, unless the arbitrator finds your claim frivolous.
19.3 Exceptions. Either party may (a) bring an individual claim in small-claims court if it qualifies, or (b) seek injunctive relief in court to protect intellectual property or to stop unauthorised use of the Service.
19.4 Class-action and jury waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND WE EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE OR REPRESENTATIVE ACTION. Claims may be brought only in an individual capacity. If this waiver is found unenforceable as to a particular claim, that claim will be decided in court, not arbitration, and the remaining claims will proceed in arbitration.
19.5 30-day opt-out. You may opt out of this arbitration agreement by emailing support@unbizzy.com with the subject "Arbitration Opt-Out," your name and account email, within 30 days after you first accept these Terms. Opting out does not affect any other part of these Terms.
19.6 Coordinated claims. If 25 or more similar arbitration demands are brought against us by or with the help of the same law firm or group, the parties will work with the AAA to resolve a small number of representative cases first, and the remaining demands will be paused (and their filing fees deferred) until those are decided, with the results guiding settlement of the rest. If this Section 19.6 is found unenforceable, the affected claims will proceed in arbitration one at a time. Any statute of limitations is tolled while a claim is paused under this Section.
19.7 Courts. For any dispute not subject to arbitration, you and we consent to the exclusive jurisdiction of the state and federal courts located in Suffolk County, New York, except that either party may enforce an arbitration award anywhere.
19.8 Time limit. To the extent permitted by law, any claim must be filed within one year after it arises, or it is permanently barred.
20. Changes to the Service and these Terms
We may change the Service, add or remove features, and update these Terms. If we make a material change to the Terms we will notify you in the app or by email at least 30 days before it takes effect (except for changes required by law or the Stores, which may take effect immediately). If you do not agree, cancel your subscription and stop using the Service before the change takes effect. Continued use after the effective date means you accept the new Terms. Material changes to the arbitration agreement will not apply to disputes that arose before the change.
21. Apple App Store — additional terms (Apple-required EULA provisions)
If you obtained the app from the Apple App Store, the following additional terms apply. To the extent they conflict with the rest of these Terms as applied to the Apple version of the app, this Section controls.
21.1 Acknowledgement. These Terms are concluded between you and JCL Technologies LLC only, and not with Apple Inc. ("Apple"). JCL Technologies LLC, not Apple, is solely responsible for the app and its content. These Terms do not provide for usage rules for the app that are less restrictive than or otherwise in conflict with the Apple Media Services Terms and Conditions.
21.2 Scope of licence. The licence granted to you for the app is limited to a non-transferable licence to use the app on any Apple-branded products that you own or control and as permitted by the Usage Rules set out in the Apple Media Services Terms and Conditions, except that the app may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing.
21.3 Maintenance and support. JCL Technologies LLC is solely responsible for providing any maintenance and support services for the app, as specified in these Terms or as required by applicable law. Apple has no obligation whatsoever to furnish any maintenance and support services for the app.
21.4 Warranty. JCL Technologies LLC is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the app to you; to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the app, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be JCL Technologies LLC's sole responsibility.
21.5 Product claims. JCL Technologies LLC, not Apple, is responsible for addressing any claims by you or any third party relating to the app or your possession and/or use of the app, including (i) product liability claims; (ii) any claim that the app fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy or similar legislation, including in connection with the app's use of the HealthKit and HomeKit frameworks (which the app does not use).
21.6 Intellectual property rights. In the event of any third-party claim that the app or your possession and use of the app infringes that third party's intellectual property rights, JCL Technologies LLC, not Apple, will be solely responsible for the investigation, defence, settlement and discharge of any such intellectual property infringement claim.
21.7 Legal compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
21.8 Developer name and address. Questions, complaints or claims about the app should be directed to: JCL Technologies LLC, 418 Broadway, Suite N, Albany, NY 12207, United States; support@unbizzy.com.
21.9 Third-party terms of agreement. You must comply with applicable third-party terms of agreement when using the app (for example, a retailer's conditions of use when shopping through the in-app browser, and your wireless data service agreement).
21.10 Third-party beneficiary. Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms as they relate to your licence of the app, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.
22. Google Play — additional terms
If you obtained the app from Google Play: (a) these Terms are between you and JCL Technologies LLC, not Google LLC, and Google is not responsible for the app or its content; (b) your purchase and any refund are governed by the Google Play Terms of Service and Google Play's refund policies, and you can manage or cancel your subscription in the Google Play Subscriptions Center; (c) you may delete your account in the app or at https://unbizzy.com/delete-account.html; and (d) Google is a third-party beneficiary of these Terms to the extent needed to enforce them in relation to your licence of the app.
23. General
23.1 Entire agreement. These Terms, the Privacy Policy and any in-app notices you accept are the entire agreement between you and us about the Service.
23.2 Severability; waiver. If any provision is held unenforceable it will be enforced to the maximum extent permitted and the rest will remain in effect. Our failure to enforce a provision is not a waiver.
23.3 Assignment. You may not assign these Terms. We may assign them to an affiliate or a successor to the business.
23.4 Notices. We may notify you by email to your account address or in the app. Notices to us go to support@unbizzy.com or the postal address below.
23.5 Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including outages at our third-party providers.
23.6 No agency. Nothing in these Terms creates a partnership, employment or agency relationship.
23.7 Electronic communications. You consent to receive notices and agreements electronically.
23.8 Consistency with the Privacy Policy. The minimum age (18), the AI consent, the allergen acknowledgement, the free features and the account-deletion routes are described in both these Terms and the Privacy Policy and are meant to say the same thing. If they ever differ, the Privacy Policy governs questions of data handling and these Terms govern everything else.
